Artemis Accessories Wholesale Terms & Conditions

These Wholesale Terms & Conditions apply to all wholesale orders placed with Artemis Accessories.

By applying for a wholesale account, placing a wholesale order, or purchasing products at wholesale prices, you confirm that you are buying as a business for resale and agree to these terms.

1. Wholesale Account Approval

Wholesale access is only available to approved trade customers, retailers, boutiques, online stores and other businesses purchasing products for resale.

We reserve the right to approve, refuse, suspend or close any wholesale account at our discretion.

You must provide accurate business details when applying for a wholesale account. We may request additional information before approving your account.

2. Wholesale Pricing

Wholesale prices are only available to approved wholesale customers.

All prices are subject to change without notice. Prices shown at the time of order will apply unless there has been an obvious pricing error.

Wholesale prices are confidential and must not be shared publicly or with third parties.

3. VAT

Artemis Accessories is not currently VAT registered, so VAT is not charged on wholesale orders.

If this changes in the future, VAT may be added to prices or invoices where applicable.

4. Minimum Order Requirements

Wholesale orders may be subject to a minimum order value or minimum quantity requirement.

Our current minimum order requirements will be shown on the wholesale section of our website, order form, or confirmed separately in writing.

We reserve the right to reject orders that do not meet the required minimum order value.

5. Placing Orders

Orders may be placed through our Shopify store, wholesale order form, by email, or by another method agreed with us.

An order is only accepted once payment has been received and we have confirmed or begun processing the order.

We reserve the right to refuse, cancel or amend any order where products are unavailable, incorrectly priced, or where we believe the order breaches these terms.

6. Payment

Wholesale orders must be paid in full before dispatch, in the same way as a standard online order.

We do not offer credit accounts unless this has been agreed separately in writing.

Orders will not be packed or dispatched until payment has been received.

7. Delivery

Delivery costs, methods and timescales will be shown at checkout or confirmed when the order is placed.

Delivery times are estimates only and are not guaranteed unless expressly agreed in writing.

We are not responsible for delays caused by couriers, incorrect delivery details, customs, or events outside our reasonable control.

Risk in the goods passes to you once the goods have been delivered to the delivery address provided.

8. Packaging

Wholesale products are sent in simple, practical packaging.

Products may not be supplied in individual retail gift boxes, branded display packaging, premium packaging or presentation packaging unless this has been agreed in writing.

Packaging may vary depending on the product, order size and availability.

9. Stock Availability

All products are subject to availability.

If an item is out of stock after an order has been placed, we may offer a replacement, place the item on back order, issue a refund for the unavailable item, or contact you to agree an alternative.

10. Product Images, Colours and Descriptions

We aim to ensure that all product images, descriptions and specifications are accurate. However, colours, finishes, sizes, materials and packaging may vary slightly.

Product images are for guidance only and may not always show the exact final appearance of the item.

11. Resale of Products

Wholesale customers may resell Artemis Accessories products through their own approved retail channels.

You must not sell our products in a way that damages the Artemis Accessories brand, misrepresents the products, or suggests that you are Artemis Accessories unless we have agreed this in writing.

You must not alter, repackage, relabel or modify products unless we have agreed this in writing.

12. Marketplaces

Unless agreed in writing, wholesale customers may not sell Artemis Accessories products on third-party marketplaces such as Amazon, eBay, Etsy, TikTok Shop, Temu, SHEIN Marketplace, or similar platforms.

This helps protect the brand, pricing and authorised retail network.

13. Recommended Retail Pricing

We may provide recommended retail prices for products.

You are responsible for setting your own resale prices, but we reserve the right to review or close wholesale accounts where products are being sold in a way that damages the brand or creates unfair market issues.

14. Returns and Cancellations

Wholesale orders are business-to-business transactions.

We do not offer standard returns, change-of-mind returns, or exchanges on wholesale orders.

Once an order has been placed and paid for, cancellation may not be possible if the order has already been processed, packed or dispatched.

Any cancellation or return is at our discretion unless the goods are faulty, damaged, incorrect, or not as described.

15. Faulty, Damaged or Incorrect Goods

You must inspect all goods as soon as possible after delivery.

Any damaged, faulty, missing or incorrect items must be reported to us in writing within 3 working days of delivery.

Please include your order number, details of the issue, and clear photographs where relevant.

If we accept that goods are faulty, damaged, missing or incorrectly supplied, we may offer one or more of the following:

• replacement goods
• a refund for the affected item
• a credit note
• another suitable remedy agreed with you

We may request that goods are returned before a replacement, refund or credit is issued.

We are not responsible for faults, damage or issues caused by misuse, poor storage, incorrect handling, normal wear and tear, or damage after delivery.

16. Non-Returnable Items

Unless faulty, damaged or incorrectly supplied, we do not accept returns for:

• wholesale goods
• clearance or sale stock
• custom or personalised items
• seasonal items
• opened or used products
• products damaged after delivery
• items returned without prior approval

17. Intellectual Property

All Artemis Accessories branding, logos, designs, photographs, product descriptions, website content and marketing materials remain our intellectual property or the property of our licensors.

You may not copy, reproduce, edit or use our content without written permission.

Where we allow you to use product images or descriptions, this permission is limited to promoting and reselling the products purchased from us.

18. Confidentiality

Wholesale prices, discount codes, account access, trade offers and unpublished product information are confidential.

You must not share this information publicly or with third parties.

19. Limitation of Liability

We will not be liable for any indirect loss, loss of profit, loss of sales, loss of business, loss of opportunity, or damage to reputation arising from the supply or resale of our products.

Our total liability for any order will not exceed the amount paid by you for that order.

Nothing in these terms excludes or limits liability where it would be unlawful to do so.

20. Product Compliance and Resale Responsibility

You are responsible for ensuring that your resale of the products complies with any laws, regulations, platform rules, labelling requirements and customer obligations that apply to your own business.

You are responsible for how products are displayed, described, marketed and sold by your business.

21. Account Suspension or Termination

We may suspend or terminate your wholesale account if:

• you breach these terms
• you fail to pay for an order
• you misuse our branding, images or content
• you sell through unauthorised channels
• you damage or risk damaging the Artemis Accessories brand
• you provide false or misleading business information

Any outstanding amounts remain payable after account closure.

22. Changes to These Terms

We may update these Wholesale Terms & Conditions from time to time.

The version in force at the time of your order will apply to that order unless otherwise agreed in writing.

23. Governing Law

These terms are governed by the laws of England and Wales.

Any disputes will be subject to the courts of England and Wales.
